Acceptance of Terms

By accessing our website or engaging our services, you agree to these Terms. If you do not agree, please discontinue use.

Services

We provide custom software development and related consulting. Specific deliverables, timelines, and pricing are outlined in individual proposals or statements of work.

Quotes and Payments

• Quotes are estimates based on the information provided.
• Invoices are due according to the payment schedule in the agreement.
• Late payments may incur delays or suspension of services.

Client Responsibilities

• Provide timely access to information, stakeholders, and systems needed for delivery.
• Review and approve deliverables within agreed timelines.
• Ensure provided content and materials do not infringe third-party rights.

Intellectual Property

Unless otherwise agreed in writing, project deliverables become the client’s property upon full payment. We may reuse non-confidential, non-customer-specific components and know‑how.

Confidentiality

Both parties agree to keep confidential information private and use it only for the purpose of the project.

Warranties and Disclaimers

We deliver services with reasonable skill and care. Except as expressly stated, we disclaim all other warranties to the extent permitted by law.

Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages. Our aggregate liability will not exceed the fees paid for the specific services giving rise to the claim.

Support and Maintenance

Post‑launch support is provided as per the agreed plan. Additional support may be offered under a separate maintenance agreement.

Termination

Either party may terminate for material breach with notice and an opportunity to cure. Upon termination, you must pay for work performed up to the termination date.

Governing Law

These Terms are governed by the laws of South Africa, unless otherwise agreed in writing.
